1. Agreement and authority
Provider: Zerve Technologies Inc., carrying on business as Zerve.
Mailing address: 1957 Rue Hunter, Apt 322, Montreal, QC H3J 2N9, Canada.
Contact: info@zerve.ca.
This agreement governs access to Zerve's hosted outdoor property management platform, related software, documentation, and integrations (the “Service”). It is between the provider identified above (“Zerve,” “we,” or “us”) and the business identified in the applicable order form or account acceptance (“Customer” or “you”).
By affirmatively accepting this agreement electronically or signing an order form that incorporates this version, you agree to its terms. The individual accepting represents that they have authority to bind the Customer. If you do not agree or lack that authority, do not accept on the Customer's behalf.
The Service is intended for business use. This agreement does not replace a property's booking terms, cancellation policy, or other agreement with its guests.
2. Access and permitted use
During the applicable subscription or trial, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your business operations, within your purchased plan. You may authorize personnel and contractors to use it for your business. You are responsible for managing their permissions, removing access when appropriate, and their compliance with this agreement.
You must provide accurate account information and protect access to accounts and sign-in methods. Notify us promptly of suspected unauthorized access.
You may not use the Service unlawfully, infringe others' rights, introduce malicious code, interfere with its operation, access another customer's information without authorization, circumvent access restrictions, or resell access without our written permission. You may not reverse engineer the Service except where applicable law expressly permits it.
3. Subscriptions, fees, and cancellation
Your order form or accepted checkout specifies the plan, included features, fees, currency, taxes, billing frequency, subscription term, any automatic renewal, and cancellation method and deadline. Automatic renewal applies only if disclosed and accepted. A trial converts to a paid subscription only on the basis disclosed and accepted when you enroll or purchase.
Subscriptions may be monthly or annual, as specified in your accepted order form or checkout. The subscription term and payment schedule are separate: paying an annual subscription in instalments does not make it a month-to-month subscription. You agree to pay the accepted fees and applicable taxes according to that schedule.
If automatic renewal is included in your accepted order, you may stop the next renewal by emailing info@zerve.ca before the renewal date, unless that order specifies a different notice period. Non-renewal leaves access in place until the end of the current subscription term. Unless your order, this agreement’s termination remedies, or applicable law provides otherwise, fees paid for that term are non-refundable. Existing monthly customers remain on their agreed monthly terms unless they accept a change.
We will give at least 30 days' notice of a price increase, which will take effect no earlier than your next renewal. If your cancellation notice period is longer, we will notify you before that deadline. Third-party subscriptions and fees, including QuickBooks fees, are separate unless expressly included in your order.
4. Customer data and privacy
As between the parties, you retain your rights in information, files, and records submitted to or generated for your business through the Service (“Customer Data”). You authorize us to process Customer Data to provide, secure, maintain, and support the Service and carry out your authorized instructions, including instructions to connected services.
You are responsible for the accuracy and lawful collection of Customer Data and for providing required notices and obtaining any required permissions from guests, employees, and other individuals. Your acceptance of this agreement does not itself provide those individuals' consent.
We will process personal information as described in our Privacy Policy and any applicable data processing agreement. We will use reasonable administrative, technical, and organizational safeguards appropriate to the information. We will notify you without undue delay after confirming unauthorized access to or disclosure of Customer Data in our custody or control, provide available information reasonably needed for your response, and cooperate with applicable legal notification obligations.
We may use service providers to perform these functions, subject to appropriate confidentiality and data protection obligations. We remain responsible for their performance of our contractual obligations. A separate data processing agreement, where applicable, governs the processing it covers.
5. Confidentiality and ownership
Each party will protect the other party's non-public business, technical, and financial information using reasonable care, use it only to perform or exercise rights under this agreement, and disclose it only to people and service providers who need it and are bound to protect it. Customer Data is your confidential information.
These restrictions do not apply to information independently developed, lawfully received without restriction, already lawfully known, or public without breach. Disclosure required by law is permitted; the receiving party will give prior notice where legally permitted and reasonably practicable.
We and our licensors retain ownership of the Service and its intellectual property. You receive only the rights expressly granted here.
6. QuickBooks Online and other integrations
Connecting an integration is optional. An authorized Customer administrator must approve the connection and have authority over the external account. You authorize Zerve to exchange the data described in the connection notice and Privacy Policy with that service to perform the functions you enable. External services operate under their own terms and privacy policies.
The current QuickBooks Online integration supports Canadian companies using Canadian dollars. It exports eligible Zerve invoices, customer display names and identifiers, invoice descriptions and amounts, tax details, payment records, refund credit memos, and void or adjustment information. It reads company details, accounting items, accounts, tax codes and rates, and relevant customer and transaction records to configure mappings, identify records, and validate exports. It does not import QuickBooks bookkeeping changes into Zerve as a two-way ledger sync.
You are responsible for selecting the correct company, configuring mappings, monitoring failures, and reconciling results with your accountant. Historical transactions are not automatically backfilled; transactions recorded while syncing is disabled and imported records may be excluded. Refund credits require reconciliation in QuickBooks. The integration records accounting information; it does not initiate transfers of money or send invoices to guests through QuickBooks.
You may stop future sync through Zerve's integration settings and revoke authorization through QuickBooks. Disconnecting does not cancel either subscription, reverse completed exports, or automatically delete existing business records in either system. Data deletion requests are handled under the Privacy Policy and applicable law.
Third-party changes, outages, authorization expiry, and rate limits may delay or interrupt integration functionality. We will use reasonable efforts to address issues within our control. Intuit is not a party to this agreement and does not provide Zerve support. QuickBooks and Intuit are trademarks of Intuit Inc. No endorsement is implied.
7. Service operation and professional judgment
We will provide the Service with reasonable care and skill and materially in accordance with its documentation. Unless separately agreed in writing, we do not promise a specific uptime or support response time. We may maintain and update the Service and will give reasonable notice of planned changes that materially reduce purchased functionality.
Zerve provides operational tools, not legal, tax, or professional accounting advice. You remain responsible for business decisions, filings, and review of financial records. If you use AI-assisted features, their outputs may be inaccurate or incomplete and require appropriate human review before reliance or action.
Except as expressly stated here and to the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation. Nothing excludes a warranty or right that cannot lawfully be excluded.
8. Suspension and termination
We may suspend affected access to address a material security threat, unlawful use, or material breach. Where practicable, we will notify you and allow a reasonable opportunity to resolve the issue before suspension. We will limit suspension to what is reasonably necessary. For non-payment, we will give at least 10 days' notice and an opportunity to pay undisputed overdue amounts.
Either party may terminate for a material breach that remains uncured 30 days after written notice. We may terminate immediately where continued provision would be unlawful. If we discontinue a paid Service before the end of its committed term for reasons other than your breach, or you terminate for our uncured material breach, we will refund prepaid fees for the unused portion.
After termination, access rights end. Subject to security and legal restrictions, you may request an export of Customer Data within 90 days after termination by emailing info@zerve.ca. We will provide available structured records in CSV or JSON format and available uploaded files in their original formats within 30 days of verifying an authorized request. Subsequent retention and deletion follow the Privacy Policy and any applicable data processing agreement.
Payment obligations already accrued and provisions intended by their nature to survive, including confidentiality, ownership, liability, and dispute provisions, survive termination.
9. Limits of liability
To the extent permitted by law, neither party is liable under this agreement for indirect, incidental, special, consequential, or punitive damages, or lost profits or business opportunities.
Each party's aggregate liability arising from this agreement will not exceed the greater of the fees paid or payable for the Service during the 12 months before the event giving rise to the claim and CAD $500. These exclusions and limits do not apply to fraud, wilful misconduct, your obligation to pay agreed fees, or liability that cannot legally be limited. The cap applies to confidentiality and data protection claims unless an applicable negotiated agreement expressly provides otherwise.
10. Changes to this agreement
We will identify revisions by version and effective date and provide at least 30 days' advance notice of material changes, except changes urgently required by law or security, for which we will provide notice as soon as practicable. We will request affirmative acceptance of material changes before applying them to an existing Customer. If you decline, the existing agreement continues through the current committed term unless law requires otherwise; we may decline renewal. A website update alone does not amend a negotiated signed agreement.
11. General terms and contact
This agreement is governed by the laws of Quebec and applicable federal laws of Canada. Subject to mandatory law, disputes will be brought before the courts located in Montreal, Quebec.
The applicable order form, this agreement, and any signed addenda form the agreement for the Service and replace prior statements on that subject. A signed negotiated agreement or order form prevails over this agreement where they conflict. A data processing agreement prevails for the data processing matters it specifically governs. The Privacy Policy explains privacy practices and does not override negotiated contractual protections or applicable law.
Neither party may assign this agreement without the other's consent, except to an affiliate or as part of a merger or sale of the relevant business where the successor assumes these obligations. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver.
Notices may be sent to your designated account email and to info@zerve.ca for Zerve. You agree to receive contractual notices electronically and may retain or print this agreement. Questions may be directed to info@zerve.ca or the business address above.
